Terms of Service

These terms are the agreement between you and Parsaa. By creating an account or using the Services, you accept them.

1. Who we are

The "Services" are the Parsaa macOS app, the website at parsaa.app, and the Parsaa API. You must be at least 18 to use them.

2. What Parsaa does

Parsaa is an AI coding agent for Xcode. It reads your open project, writes and edits Swift, runs builds and tests, and drives the iOS Simulator, asking for your approval before it changes files. It needs accessibility and file-access permissions for Xcode, plus network access to our API and AI providers. You can review and revoke these permissions in macOS at any time.

3. Plans, billing, and credits

• Parsaa is offered on subscription plans, including a Bring Your Own Key (BYOK) plan and credit-based hosted plans. Current plans and prices are on the Pricing page; that page controls.
• Hosted plans include a monthly allowance of credits that is consumed as you use hosted models. Autocomplete and embeddings are included without consuming credits. Additional credits can be purchased.
• Subscriptions are billed in advance through our third-party payment processor. Prices are in US dollars and exclude any taxes that may apply.

Renewal, cancellation, and refunds

• Auto-renewal: monthly and annual plans renew automatically until you cancel. We send a reminder before an annual renewal. Cancel before the renewal date to avoid the charge.
• Cancellation: you can cancel anytime. Access continues to the end of the period you already paid for: a monthly plan runs to the end of the month, and an annual plan runs to the end of the paid year.
• 7-day right of withdrawal: within 7 days of a charge you may cancel for a refund of the unused portion, as provided by the Brazilian Consumer Code (CDC, Art. 49). Credits you have already used are not refundable and are deducted from any refund.
• After 7 days: charges are non-refundable, and annual plans are not refunded on a prorated basis. You keep access until the end of the period you paid for.
• Prepaid credit packs (top-up and Frontier): final sale. They are refundable within 7 days only if entirely unused.
• Service failure: if the Services are materially unavailable, you may be entitled to a refund under applicable consumer law. Contact hello@parsaa.app and we will make it right.

4. Your code and content

• You own your code. You keep all rights to the code and projects you create with Parsaa, including code the AI helps generate.
• You grant us only the limited rights needed to operate the Services: to process the content you submit so the agent can respond. How long that content is retained is described in the Privacy Policy.
• You are responsible for having the rights to the code you submit, and for your use of what the agent returns.

5. Use of your content to improve Parsaa

Whether we keep your AI content to improve the product depends on your Privacy Mode setting:

• Training Mode (default): we may retain your chat requests and autocomplete to operate and improve Parsaa. You can turn this off per feature.
• Private Mode: your content is used only to produce the response and is not retained.
• BYOK: requests go directly to your chosen provider and do not reach our servers.

We do not sell your code, and where a provider supports it we use no-training settings.

6. The AI has limits

AI-generated code can be wrong. It can hallucinate APIs that do not exist, suggest deprecated or insecure patterns, or produce code that compiles but does not do what you intended. It may also resemble existing code, so originality is not guaranteed.

You are responsible for reviewing, testing, and securing any code before you ship it.Parsaa is a tool that assists you; it does not replace your judgment, and it does not guarantee App Store approval or compliance with Apple's guidelines.

7. Acceptable use

Do not use Parsaa to build malware or unlawful software, infringe others' rights, reverse-engineer or resell the Services, overload or attack our infrastructure, or evade usage limits and billing. We may suspend or terminate accounts that do.

8. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind to the extent permitted by law. We do not guarantee that output is accurate, secure, or fit for a particular purpose, or that the Services will be uninterrupted. This does not limit rights you have under mandatory consumer law.

9. Limitation of liability

To the extent permitted by law, Parsaa is not liable for indirect, incidental, or consequential damages, or for lost profits, data, or goodwill. Our total liability for any claim is limited to the greater of the amount you paid us in the six months before the claim or USD 100. Nothing here limits liability that cannot be limited under Brazilian (CDC) or EU consumer law.

10. Apple

Parsaa is not affiliated with, endorsed by, or sponsored by Apple. Xcode, Swift, SwiftUI, iOS, iPadOS, macOS, and related marks are trademarks of Apple Inc. You are responsible for your Apple Developer Program membership and for complying with Apple's guidelines.

11. Termination

You can stop using the Services and delete your account at any time. We may suspend or end access for breaches of these terms, fraud or abuse, repeated payment failure, or legal reasons. On termination, paid access ends and your data is handled per the Privacy Policy.

We may also discontinue the Services, in whole or in part, at any time and for any reason, including cost, a sale or transfer of the business, or other strategic reasons. Where practicable, we will give reasonable advance notice. If we discontinue a paid Service for this reason, we will refund the unused, prepaid portion of your subscription and any unused prepaid credit packs; credits already used are not refundable. You will be able to export your account data before access ends, as described in the Privacy Policy.

12. Changes

We may update these terms or the Services. For material changes we will give reasonable notice before they take effect. Continuing to use the Services after that means you accept the change.

13. Governing law

These terms are governed by the laws of Brazil, with venue in São Paulo, without prejudice to mandatory protections in your country of residence. We prefer to resolve disputes informally first, so contact us at hello@parsaa.app.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold Parsaa harmless from claims, damages, and reasonable costs arising from your misuse of the Services or from the code you submit or ship, including third-party intellectual property or licensing claims related to that code.

15. General

• Entire agreement: these terms and the Privacy Policy are the whole agreement between you and Parsaa about the Services.
• Severability: if a provision is unenforceable, the rest stays in effect.
• No waiver: not enforcing a right once does not waive it.
• Assignment: you may not assign these terms without our consent; we may assign them in a merger, acquisition, or sale of assets.
• Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
• No third-party beneficiaries: these terms create rights only for you and Parsaa.
